Publytics Srl, registered office at Via Val Leventina 3 Int 1, 20148 Milano (MI), VAT number IT13079420967 (hereinafter also referred to as "Provider" or "Redsuite").
In this act, the user will also be referred to as the "Customer" or "Client".
Premises
A) The Provider has developed a software platform that allows customers to monitor, analyze, and engage with public conversations on the Reddit platform.
B) The Customer wishes to use the Provider's service for their business activities.
C) The Provider has agreed to provide, and the Customer agrees to pay for the service on the terms and conditions of this contract.
1. Definitions
1.1 Subscription Fee: The recurring amounts that the Customer is required to pay to the Provider for the use of the Service, as indicated on the pricing page.
1.2 Contract or General Conditions: This contract and its annexes that form an integral and substantial part thereof.
1.3 Documentation: The documents transmitted or otherwise made available to the Customer by the Provider through the website www.redsuite.io or any other website notified by the Provider containing a description of the Services and usage instructions.
1.4 Effective Date: The date of the Customer's acceptance of this contract.
1.5 Subscription Term or Subscription Period: has the meaning set forth in clause 7.1.
1.6 Data: Public data from the Reddit platform, sourced via its official API and processed by the Software, and finally made available to the Customer.
1.7 Force Majeure: Any event or circumstance unforeseeable and not attributable to the invoking party, which renders the performance of its obligations impossible.
1.8 Working Day: Any day of the week except Saturday, Sunday, and national holidays in Italy.
1.9 Services: The services provided to the Customer through the Platform, as described in the Documentation.
1.10 Software or Platform: The software application granted for use to the Customer remotely that allows the provision of the Services on a subscription basis.
1.11 Support Services: The activity of support and assistance in case of malfunctioning of the Services.
2. Subscription
2.1 With the purchase of a subscription, the Provider grants the Customer a revocable, non-exclusive, non-transferable license, without the right to sublicense, to use the Services for the Subscription Term, exclusively for the Customer's internal business purposes.
2.2 Subscriptions are provided at a fixed cost, determined by the plan chosen by the Customer, which sets limits on the number of monitored keywords, subreddits, and/or scheduled posts. It is the Customer's responsibility to prevent any unauthorized use of the Services and, in the event of such use, to promptly inform the Provider.
2.3 If the Customer's usage exceeds the limits of their current subscription plan, access to certain features may be restricted. The Customer will be prompted to upgrade their subscription plan to continue full use of the Services. The Customer can upgrade their plan at any time through their account dashboard.
2.4 The rights provided by this article are exclusively granted to the Customer, excluding any controlled companies, subsidiaries, or parent companies, unless otherwise agreed in writing.
3. Service
3.1 During the Subscription Term, the Provider will provide the Services and make the Documentation available to the Customer in accordance with this Contract.
3.2 The Provider will make every reasonable effort to ensure the availability of the Services 24 hours a day, seven days a week, except in cases of: (a) scheduled maintenance; (b) urgent, unscheduled maintenance; (c) service interruptions not directly attributable to the Provider (e.g., Reddit API outages, widespread network failures).
3.3 The Provider will provide customer support to the Customer during the working hours listed on the Website, at no additional cost.
3.4 The Provider may offer a free or trial plan. The Customer may not create multiple accounts to circumvent the limitations of such plans. If such behavior is discovered, the Customer's accounts will be immediately suspended.
3.5 Service Level Agreement (SLA): For Customers on "Moderator" and "Admin" plans, the Provider guarantees a Service uptime of 99.5% during any calendar month. If uptime falls below this level, the Customer may be eligible for a service credit equal to 5% of their monthly fee for that month. Uptime is calculated excluding scheduled maintenance and factors outside the Provider's reasonable control as outlined in clause 3.2.
4. Provider's Obligations
4.1 The Provider undertakes to deliver the Services with the average diligence required by their nature.
4.2 The Provider shall not be held liable for any delays, loss, or damage caused by the transfer of data over networks and communication infrastructures, including the Internet.
4.3 The Provider ensures that it has and will maintain all licenses and authorizations necessary to fulfill its obligations under this Contract.
5. Customer's Obligations
5.1 The Customer is required to ensure that their use of the Services complies with this Contract, the Usage Rules in Annex 1, Reddit's Terms of Service, and all applicable laws.
5.2 The Customer is responsible for maintaining the security of their account credentials and network infrastructure.
5.3 The Customer is obligated to timely pay the Subscription Fee. Any delays in payments may result in the immediate suspension of the Service.
5.4 The Customer undertakes not to use the Services to store or process sensitive personal data and shall indemnify and hold harmless the Provider from any damages caused by such improper use. The Provider reserves the right to monitor the use of the Service to ensure compliance with these conditions and may revoke access in case of a breach.
6. Subscription Fee and Payment Terms
6.1 The Customer authorizes the Provider to charge their chosen payment method (e.g., credit card) at the beginning of each subscription period (monthly or annually).
6.2 The Customer is responsible for ensuring their payment details are accurate and up-to-date.
6.3 Subscriptions will automatically renew at the end of each period unless canceled by the Customer.
6.4 The Subscription Fee is non-refundable, except where required by law.
6.5 The Provider reserves the right to increase the cost of subscriptions, with any changes taking effect at the end of the current subscription period. The Customer will be notified in advance and will have the right to cancel their subscription if they do not agree to the new price.
7. Duration, Termination, and Resolution
7.1 The Contract shall have a minimum duration of one (1) month for monthly subscriptions or one (1) year for annual subscriptions and will automatically renew for subsequent periods of the same duration.
7.2 The Customer may cancel the automatic renewal at any time through their account dashboard or by contacting support. The Service will continue until the end of the current paid period.
7.3 The Provider shall have the right to terminate this Contract with immediate effect if the Customer fails to fulfill any of the obligations set forth in Articles 5 ("Customer's Obligations"), 6 ("Subscription Fee and Payment Terms"), or 8 ("Intellectual Property").
8. Intellectual Property
8.1 All intellectual property rights related to the Platform, the Service, and the Website are the exclusive property of Redsuite and its licensors. No clause of the Contract shall be construed as an assignment of these rights to the Customer.
8.2 The Customer is expressly prohibited from copying, modifying, reverse-engineering, decompiling, or creating derivative works from the Software, or sublicensing it in any way.
9. Personal Data and Confidentiality
9.1 The provision of the Services involves the processing by Redsuite of personal data for which the Customer is the data controller. Redsuite will act as the data processor in accordance with our Data Processing Agreement (DPA), which forms an integral part of this Contract.
9.2 It is understood that the Customer is responsible for fully complying with the provisions of the GDPR, in particular for having an appropriate legal basis for processing.
9.3 Information collected within the metrics and related to the Customer's account will be treated by Redsuite in strict confidence and will not be disclosed to third parties, except as required to provide the service (e.g., to sub-processors listed in the DPA).
10. Confidentiality
10.1 Each party ("Receiving Party") agrees to keep confidential all technical, commercial, and financial information ("Confidential Information") disclosed by the other party ("Disclosing Party"). The Receiving Party shall not use the Confidential Information for any purpose other than to perform its obligations under this Contract. This obligation does not apply to information that is publicly known, already in the Receiving Party's possession, or required to be disclosed by law.
11. Indemnification
11.1 Indemnification by Customer: The Customer agrees to indemnify and hold harmless the Provider against any claims, damages, or costs arising from the Customer's breach of this Contract or violation of any applicable law or third-party rights.
11.2 Indemnification by Provider: The Provider agrees to indemnify and hold harmless the Customer against any claims brought by a third party alleging that the Service, as provided by the Provider, infringes upon that third party's intellectual property rights.
12. Limitation of Liability
12.1 Except in cases of willful misconduct or gross negligence, under no circumstances shall the Provider be liable for indirect damages or for damages due to interruptions of the Service caused by factors beyond its reasonable control.
12.2 The Provider shall not be liable for any damages caused by the Customer's use of the Platform and Services not in accordance with this Contract or the Documentation.
12.3 Notwithstanding any other provision, and except in cases of willful misconduct or gross negligence, Redsuite's entire liability to the Customer shall not exceed an amount equal to the Subscription Fees paid by the Customer in the 12 months preceding the event giving rise to the claim.
13. Force Majeure
13.1 Neither party shall be liable for the failure or delay in performance of its obligations if such non-performance is due to Force Majeure.
14. Modifications
14.1 The Provider reserves the right to amend these General Terms with a minimum notice period of 15 days. The Customer will be notified via email. Continued use of the service after the notice period constitutes acceptance of the new terms.
15. Assignment of Contract
15.1 The Provider reserves the right to assign the rights and obligations under this Contract. The Customer may not assign this Contract without the prior written consent of the Provider.
16. Communications

17. Applicable Law and Jurisdiction
17.1 This Contract is governed and interpreted in accordance with Italian law. Any dispute relating to this Contract shall be submitted to the exclusive jurisdiction of the Court of Rome.
Annex 1 - Usage Rules
The use of the Redsuite.io service for any of the following activities is strictly prohibited. Engaging in these activities will result in immediate account termination.
A) Any activity that violates Reddit's Terms of Service or Content Policy.
B) Spamming, vote manipulation, or any form of inauthentic engagement.
C) Harassment, hate speech, or the promotion of violence.
D) Spreading misinformation or disinformation.
E) Any activity related to illegal goods or services, including but not limited to child pornography, illicit drugs, or computer piracy.
